Seamless Terms of Service

To make things simpler to read, "we"/"us"/"our" refers to Uh Huh Yeah, the makers of Seamless and "you" refers to you, the reader/user.

By signing up for and/or using the Seamless service, you are agreeing to be bound by the following terms and conditions (Terms of Service).

We reserve the right to update or change the Terms of Service at any time without notice. Any new features that build upon, or add to the existing service shall be subject to these Terms of Service. Continued use of such services or enhancements shall constitute your consent to such changes.

General Conditions

Your use of the service is at your sole risk. The service is provided on an “as is” and “as available” basis.
Technical support outside of the existing support documentation is generally only provided to paying account holders and is only available via email.
You understand that Seamless is made possible by using third party vendors and hosting partners to provide the necessary hardware, software, networking, and related technology required to run the Service.
You must not modify, adapt or hack Seamless or modify another website so as to falsely imply that it is associated with the service or us.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of Seamless, use of Seamless, or access to Seamless without the express written permission by us.
Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Seamless customer, Uh Huh Yeah employee, member, or officer will result in immediate account termination.
We do not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
You expressly understand and agree that we shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we had been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorised access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) termination of your account; or (vi) any other matter relating to the service.
The failure (actual or perceived) of us to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and us and govern your use of the service, superseding any prior agreements between you and us (including, but not limited to, any prior versions of the Terms of Service).

Acceptable Use

You acknowledge that each Submission, whether publicly posted or privately transmitted, is the sole responsibility of the person from which such Submission originated. This means that you are entirely responsible for any Submission that you post, email or otherwise transmit to or via the Seamless Site(s) or Services.

You agree to not use the Service to:

upload, post, email or otherwise transmit any Submission that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
harm minors in any way;
impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
forge headers or otherwise manipulate identifiers in order to disguise the origin of any Submission transmitted through the Service;
solicit other users of the Service to join or become members of any online or other service;
upload, post, email or otherwise transmit any Submission that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); upload, post, email or otherwise transmit any Submission that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas that are designated for such purpose;
upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks or third party providers connected to, or providing the Services;
intentionally or unintentionally violate any applicable local, state, national or international law, any rules of any national or other securities exchange and any regulations having the force of law;
"stalk" or otherwise harass another member or user of the Services; or
collect or store personal data about other users, or members.

Modification to services and prices

We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, Seamless (or any part thereof) with or without notice.
Prices of all services, including but not limited to monthly subscription plan fees to the service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Seamless site or in the service itself.
We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the service.

Cancellation and Termination

You are solely responsible for properly cancelling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by clicking on the "Account" link in the global navigation bar at the top of the screen. The "Billing" tab provides a simple, no questions asked instant cancellation process.
All of your Content will be immediately deleted from the service upon cancellation. Please ensure that you have sufficient back-ups of all your content.
If you cancel the service before the end of your current paid up month, your cancellation will take effect immediately but you will not be charged again.
We, in our sole discretion, have the right to suspend or terminate your Account and refuse any and all current or future use of the service, or any other of my services, for any reason at any time. Such termination of the service will result in the deactivation and/or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content in your Account. We reserve the right to refuse service to anyone for any reason at any time.

Payment, Refunds, Upgrading and Downgrading

A valid credit card is required for paying accounts. Free accounts (including free-trials on paying accounts) are not required to provide a credit card number.
The service is billed in advance on a six-monthly or twelve-monthly basis depending on the subscription plan you choose.
Users of any paid account shall have thirty (30) days from the date of payment for a full refund. After this thirty (30) day period, purchases of the Seamless subscription become FINAL and non-refundable, except in our sole and absolute discretion. At that point, you cannot return or cancel your subscription for a refund, and if your account is cancelled or terminated by you or by us, for any reason, you will lose and forfeit the remaining time on your subscription. The default setting for subscriptions is an auto-renewing subscription. This means that if you have signed up for a twelve-month subscription plan, each year on your subscription anniversary date, you will be charged the prevailing rate for an additional one-year subscription renewal. If you have signed up for a six-month subscription plan, you will be charged every six months at the prevailing rate for an additional six-month subscription renewal. Notwithstanding the foregoing, if you have signed up for an automatically-renewing subscription, you will have the ability to cancel any future renewals.
There will be no refunds or credits for partial months of service, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.
Since the only difference between the two subscription plan levels is the frequency of their billing and their price you are only able to change plans at renewal time.
Downgrading your service may cause the loss of Content, features, or capacity of your Account. You will be advised at the time what losses may result from downgrading. We do not accept any liability for such loss.

Account Terms

A free trial of a paying account requires that you provide a valid email address and that you have not in the past, nor concurrently, have signed up for a free trial. You must provide your full legal name, a valid email address, and any other information requested in order to complete the signup process after your free trial in order to convert your free trial to any paid account. Note: In order to provide the best user experience possible, it is sometimes necessary for you to provide additional non-sensitive information such as (but not limited to) your time zone.
Your account may only be used by one person – a single login shared by multiple people is not permitted.
You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
One person or legal entity may not initiate more than one free trial account. After the free trial period has elapsed, you must provide your billing information to convert it into a paying account if you wish to continue to use the service.
You may not use the service for any illegal or unauthorised purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws and objectionable content laws).
At our sole discretion we reserve the right to suspend, revoke or cancel any account that we feel is in violation of the Seamless Terms of Service.
